1. OUR SERVICES

Your submissions

will not submit any Submission that is illegal, harassing, hateful, harmful, defamatory, obscene, abusive, discriminatory, threatening, sexually explicit, false, or misleading

waive any and all moral rights to any such Submission to the extent permitted by applicable law

warrant that your Submissions are original to you or that you have the necessary rights and licenses to submit them and grant us the rights described above

warrant that your Submissions do not contain confidential information

You are solely responsible for your Submissions and you agree to reimburse us for any and all losses that we may suffer because of your breach of this section, any third party intellectual property rights, or applicable law.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that

you have the legal capacity and agree to comply with these Legal Terms

you are not a minor in the jurisdiction in which you reside

you will not access the Services through automated or non human means, whether through a bot, script, or otherwise

you will not use the Services for any illegal or unauthorized purpose

your use of the Services will not violate any applicable law or regulation

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your access and refuse any and all current or future use of the Services.

4. PROHIBITED ACTIVITIES

interfere with or create an undue burden on the Services or networks connected to the Services

harass, annoy, intimidate, or threaten any of our employees or agents

5. USER GENERATED CONTRIBUTIONS

At this time, the Services do not offer users the ability to publicly post or display content. If in the future the Services allow you to submit, post, or display content or materials (“Contributions”), those Contributions may be treated in accordance with our Privacy Policy and these Legal Terms.

If Contributions are allowed, you will represent and warrant that, among other things:

you own or have rights to your Contributions

your Contributions do not infringe any third party rights

your Contributions are not false, illegal, defamatory, obscene, harassing, or otherwise objectionable

your Contributions do not violate any law

Any use of the Services that violates these conditions may result in suspension or termination of your right to use the Services.

6. CONTRIBUTION LICENSE

You and the Services agree that we may access, store, process, and use any information and personal data that you provide in accordance with our Privacy Policy and your choices.

By submitting suggestions or other feedback regarding the Services, you agree that we may use and share such feedback for any purpose without compensation to you.

We do not claim ownership over your Contributions, if any. You retain full ownership and any applicable rights associated with your Contributions. You are solely responsible for your Contributions.

7. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to:

monitor the Services for violations of these Legal Terms

take appropriate legal action against anyone who, in our sole discretion, violates these Legal Terms or the law

in our sole discretion, limit or disable access to any part of the Services or any Contributions

remove files or content that are excessive in size or burdensome to our systems

manage the Services in a manner designed to protect our rights and property and to maintain proper operation of the Services

8. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy, which is available on the Site. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.

The Services are hosted in the United States. If you access the Services from another region with different data laws, you understand that you are transferring your data to the United States and consent to that transfer and processing.

9. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services.

WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, TO DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON, INCLUDING FOR BREACH OF THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OF THE SERVICES OR DELETE ANY CONTENT OR INFORMATION YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your access, you are prohibited from creating a new account or otherwise attempting to access the Services under any name, real or assumed. We reserve the right to pursue appropriate legal action, including civil and criminal remedies.

10. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time for any reason at our sole discretion without notice. We have no obligation to update any information on the Services.

We will not be liable for any modification, suspension, or discontinuance of the Services.

We cannot guarantee that the Services will be available at all times. We may experience technical issues or need to perform maintenance, which may result in interruptions. You agree that we have no liability for any loss, damage, or inconvenience caused by any inability to access or use the Services during downtime.

11. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles. These Legal Terms are considered to be made and performed in Arizona.

12. DISPUTE RESOLUTION

Any legal action brought by you or us (collectively, the “Parties” and individually, a “Party”) shall be commenced or prosecuted in the state or federal courts located in Arizona, United States. The Parties consent to and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such courts.

In no event shall any claim, action, or proceeding related to the Services be commenced more than one (1) year after the cause of action arose.

13. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other information. We reserve the right to correct any such errors and to change or update the information on the Services at any time, without prior notice.

14. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT OF THE SERVICES OR OF ANY WEBSITES LINKED TO THE SERVICES. WE ASSUME NO LIABILITY FOR ANY

(2) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SERVICES

(5) BUGS, VIRUSES, OR MALICIOUS CODE TRANSMITTED BY ANY THIRD PARTY
(6) ERRORS OR OMISSIONS IN ANY CONTENT OR MATERIALS, OR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES.

YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

15. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of

Although we perform routine backups, you are solely responsible for any data that you transmit or that relates to any activity you undertake using the Services.

You agree that we have no liability to you for any loss or corruption of such data, and you waive any right of action against us arising from such loss or corruption.

18. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. You waive any rights or requirements under laws which require an original signature or non electronic records.

19. SMS TEXT MESSAGING

Opting Out

If at any time you wish to stop receiving SMS messages from us, reply to the message with “STOP.” You may receive a confirmation message.

Message and Data Rates

Message and data rates may apply to any SMS messages sent or received. Rates are determined by your carrier and your mobile plan.

21. MISCELLANEOUS

These Legal Terms and any policies or rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision.

If any provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.

There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms or your use of the Services.

You agree that these Legal Terms will not be construed against us by virtue of having drafted them. You waive any defenses you may have based on the electronic form of these Legal Terms and the lack of physical signing.
